SMM's capital architecture is a defining feature of the platform. It is designed to preserve long-term African ownership while enabling disciplined engagement with international institutional capital.

  • African-controlled HoldCo. Sequoia Minerals & Metals Limited remains African-owned and -controlled, providing strategic continuity and long-term alignment.
  • SPV-level investment entry. Capital is introduced at the asset or district level — through dedicated project vehicles such as Oluyole Strategic Minerals Limited or Latosa Strategic Minerals Limited — rather than through premature dilution of the HoldCo.
  • Asset-by-asset capital allocation. Funding is directed to specific districts against clearly defined technical milestones and value-creation events.
  • Ring-fenced risk. Each district can be structured to isolate risk and align partners to that asset, enabling tailored capital and clean price-discovery.
  • Strategic partnership at district level. The structure allows strategic, development-finance and sovereign partners to participate in specific districts while preserving the integrity of the wider platform.

This architecture protects HoldCo control and African ownership, while creating multiple, independent pathways for institutional capital to participate in SMM's development.
